WHEREAS, on May 18, 2026, the City of Miami’s (“City”) concession vendor unexpectedly ceased operations at the administrative building known as the Miami Riverside Center at 444 Southwest 2nd Avenue, Miami, Florida 33130 (“MRC”) and the Miami Police Headquarters at 400 Northwest 2nd Avenue, Miami, Florida 33128 (“Police HQ”) (collectively, “Premises”); and WHEREAS, as a result, there is no dedicated on-site food and beverage service available for employees or visitors within the Premises; and WHEREAS, Sky Coffee Buenos Aires Inc (“Sky Coffee”) is a Florida for-profit corporation, with the purpose of providing food and beverage concession services; and WHEREAS, Sky Coffee has expressed its interest and ability to provide concession services at the Premises; and WHEREAS, waiving competitive sealed bidding and engaging Sky Coffee to provide food and beverage concessions at the Premises will allow employees and visitors to obtain these services as soon as possible without the delay associated with the formal competitive procurement process to replace the concession vendor that unexpectedly ceased operations, which is in the City’s and the community’s best interest; and WHEREAS, the City and Sky Coffee desire and intend to enter into one or more agreements (“Agreements”) to provide food and beverage concession services within the Premises at no cost to the City (“Project”); and WHEREAS, pursuant to Section 18-85(a) of the City Code, the City Manager has determined that competitive sealed bidding is not practicable or advantageous to the City and has recommended waiving competitive sealed bidding requirements, with the written findings supporting such determination attached hereto and incorporated herein as Exhibit "A"; and WHEREAS, the City Manager’s recommendation and written findings must be ratified, confirmed, and approved by the City Commission by a four-fifths (4/5ths) affirmative vote after an advertised public hearing;

NOW, THEREFORE,

BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated herein as if fully set forth in this Section. Section 2. Pursuant to Section 18-85(a) of the Code of the City of Miami, Florida, as amended (“City Code”), by a four-fifths (4/5ths) affirmative vote, after an advertised public hearing, the City Manager’s written findings that competitive sealed bidding is not practicable or advantageous to the City are hereby ratified, approved, and confirmed, and competitive sealed bidding requirements are accordingly waived. Section 3. The City Manager is hereby authorized1 to negotiate and execute the Agreements, in forms acceptable to the City Attorney, with Sky Coffee for the provision of food and beverage concession services, at no cost to the City, at the MRC for a term not to exceed two (2) years, and at the Police HQ for a term not to exceed four (4) years. Section 4. The City Manager is further authorized1 to negotiate and execute such agreements, amendments or other documents, in forms acceptable to the City Attorney, as may be necessary for the Project, subject to compliance with applicable Federal, State, and local laws. Section 5. This Resolution shall become effective immediately upon its adoption. APPROVED AS TO FORM AND CORRECTNESS: 1 The herein authorization is further subject to compliance with all legal requirements that may be imposed, including but not limited to those prescribed by applicable City Charter and City Code provisions.
