RESOLUTION NO. 2025- A RESOLUTION OF THE VILLAGE OF PINECREST, FLORIDA, AUTHORIZING THE VILLAGE MANAGER TO ENTER INTO AN AGREEMENT WITH PLATEA GROUP FOR THE PINECREST GARDENS CYPRESS HALL RESTAURANT OPERATOR; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the Village issued a Request for Proposals for Pinecrest Gardens Cypress Hall Restaurant Operator; and WHEREAS, the Village Manager received proposals by the published deadline; and WHEREAS, the Village Council adopted Resolution 2024-34 authorizing the Village Manager to enter into an agreement with the first ranked proposer, Bohemian Spark Café; and WHEREAS, operations for Bohemian Spark Café ceased on August 23, 2025, and negotiations were initiated with the second-ranked proposer, Platea Group (dba Charisma); and

NOW, THEREFORE,

BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE OF PINECREST, FLORIDA, AS FOLLOWS: Section 1. That the Village Manager is hereby authorized to enter into an agreement with Platea Group (dba Charisma) for the Pinecrest Gardens Cypress Hall Restaurant Operator under the following terms: a 40/60 split of net revenue and a 50/50 split of private event catering revenue on the premises. The agreement will have a five-year term, with up to two (2) optional five-year renewals. Section 2. This resolution shall be effective immediately upon adoption. Three proposals were received by March 7, 2024. At its April 18, 2024, meeting, the Village Council authorized the Village Manager to negotiate a professional services agreement with Bohemian Spark Café, the top-ranked proposer. Operations for Bohemian Spark Café ceased on August 23, 2025. Following this, Administration contacted the second-ranked proposer, Platea Group, to initiate negotiations. Based on these negotiations, I respectfully request approval authorizing the Village Manager, in consultation with the Village Attorney, to finalize and execute an agreement with Platea Group under the following terms: a 40/60 split of net revenue and a 50/50 split of private event catering revenue on the premises. The agreement will have a five-year term, with up to two (2) optional five-year renewals. This revenue-share structure is projected to generate more than $175,000 annually, a material increase compared to the prior agreement, which provided a fixed monthly fee capped at $144,000 per year.
